Terms of Service

1. Acceptance of Terms

By accessing or using ViewAll ("Service"), provided by ViewAll Inc., a Delaware corporation ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

ViewAll is a browser extension and web application that enables users to:

• Capture screenshots and annotate web pages with comments
• Copy and share formatted content for collaboration tools (Jira, Google Docs, etc.)
• Export content for AI assistants and team collaboration
• Store and manage captured content (Pro users)
• Create shareable links with end-to-end encryption (Pro users)

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We use email-only authentication. You are responsible for maintaining access to your registered email address.

4. Subscription Plans and Billing

4.1 Free Plan

Our Free plan provides basic functionality including screenshot capture, comments, and clipboard copying. Content is not persistently stored.

4.2 Pro Plan

The Pro plan is currently in closed beta. Features include:

• Persistent storage of screenshots and captures
• Unified shareable links with encryption
• Cross-device synchronization
• Advanced organization and search capabilities

4.3 Billing Terms [TO BE FINALIZED]

Note: Billing terms, pricing, and refund policies will be finalized before public launch. During closed beta, no charges will be applied.

5. User Content and Data

5.1 Your Content

You retain all rights to content you create using the Service, including screenshots, comments, and annotations. By using the Service, you grant us a limited license to store, process, and display your content solely to provide the Service.

5.2 Data Security

We implement industry-standard security measures including:

• End-to-end encryption for shared content
• Secure transmission of all data (HTTPS/TLS)
• No password storage (email-only authentication via magic links)

5.3 Data Retention and Deletion

Free Users: Content is not persistently stored and is cleared when you close your browser or session.

Pro Users: Content is stored until you delete it or close your account.

Account Deletion: Upon account deletion, all your data is immediately and permanently removed from our systems. This action cannot be undone.

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate any laws or regulations
• Infringe on intellectual property rights of others
• Capture or share content you don't have permission to access
• Transmit malware, viruses, or malicious code
• Attempt to gain unauthorized access to our systems
• Use the Service to harass, abuse, or harm others
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission

7. Intellectual Property

The Service, including its software, design, text, graphics, and other content (excluding user content), is owned by ViewAll Inc. and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without express written permission.

8. Third-Party Services

ViewAll integrates with third-party services (e.g., Jira, Google Docs, AI assistants). Your use of these services is subject to their respective terms and conditions. We are not responsible for the availability, accuracy, or content of third-party services.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you agree to our privacy practices.

10. Disclaimers and Limitation of Liability

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIEWALL INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless ViewAll Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content submitted through the Service

12. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Extended periods of inactivity
• Technical or security reasons

You may terminate your account at any time through your account settings. Upon termination, your data will be immediately deleted as described in Section 5.3.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property matters.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ViewAll Inc. regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
